Non-Disclosure Agreement

Between:

SGDL Innovation S.A., a Swiss company, hereinafter referred to as the "Disclosing Party",

And the undersigned individual or representative, hereinafter referred to as the "Receiving Party".

1. Purpose

The Receiving Party wishes to access the scientific and technical documentation published by SGDL Innovation S.A. on its website (the "Confidential Information"), which includes but is not limited to: algorithms, mathematical foundations, the Arithmetics of Forms, spatial encoding methods, computational frameworks, and any related research materials.

2. Definition of Confidential Information

"Confidential Information" means all scientific, technical, mathematical, and proprietary information disclosed by the Disclosing Party, whether in written, visual, electronic, or oral form, including but not limited to:

• Algorithms and mathematical proofs related to the Arithmetics of Forms
• Patent-related technical descriptions and implementations
• Research publications and internal documentation
• Software architectures, code structures, and computational methods
• Business strategies, partnerships, and product roadmaps

3. Obligations of the Receiving Party

The Receiving Party agrees to:

• Maintain strict confidentiality of all Confidential Information
• Not disclose, publish, or distribute any Confidential Information to third parties without prior written consent from the Disclosing Party
• Not use the Confidential Information for any purpose other than personal evaluation and understanding
• Not reproduce, copy, or create derivative works based on the Confidential Information
• Protect the Confidential Information with at least the same degree of care used for their own confidential information

4. Intellectual Property

All Confidential Information remains the exclusive property of SGDL Innovation S.A. This agreement does not grant any license, intellectual property rights, or ownership interest in the Confidential Information. 5. Duration

This agreement shall remain in effect for a period of five (5) years from the date of signature. The obligations of confidentiality shall survive the expiration or termination of this agreement.

6. Governing Law

This agreement shall be governed by and construed in accordance with the laws of Switzerland. Any disputes shall be subject to the exclusive jurisdiction of the courts of Geneva, Switzerland.

7. Remedies

The Receiving Party acknowledges that any breach of this agreement may cause irreparable harm to the Disclosing Party. In the event of a breach, the Disclosing Party shall be entitled to seek injunctive relief and any other remedies available at law or in equity.
